| 12. A Director who is directly or indirectly interested in a contract proposed to be made by the Corporation shall disclose the nature of his interest at a meeting of the Board of Directors. The disclosure shall he recorded in the minutes of such Board, and that Director shall not take part in any deliberation or decision of such Board with respect to such contract. |
